These Terms and Conditions govern your access to and use of the PremierPath Systems website and public-facing communications services.

Please read them carefully before using our website, submitting information, scheduling an appointment, or opting in to receive communications from PremierPath Systems.

PremierPath Systems, LLC may be referred to in these Terms as “PremierPath,” “we,” “us,” or “our.”

2. ACCEPTANCE OF THESE TERMS

By accessing or using our website, submitting a form, scheduling an appointment, communicating with us, or opting in to receive text messages, you agree to these Terms and Conditions.

If you do not agree with these Terms, do not use the website or related services.

You must be at least 18 years old to use the website or submit information to PremierPath.

If you use the website on behalf of a business or other organization, you represent that you have authority to act on behalf of that organization.

3. SCOPE OF THESE TERMS

These Terms govern:

• Access to and use of the PremierPath Systems website

• Website forms, assessments, and questionnaires

• Appointment and strategy-call scheduling

• Website chat and automated communications

• Email and text-message communications

• Publicly available information and materials; and

• Other public-facing features made available through the website

These Terms do not by themselves establish a paid client relationship.

Paid services, software access, implementation work, subscriptions, billing, ownership, cancellation, refunds, data access, and other client-specific matters may be governed by a separate proposal, Client Agreement, Refund and Cancellation Policy, order form, or other written agreement.

If a separate signed Client Agreement conflicts with these Terms regarding paid client services, the Client Agreement will control.

4. DESCRIPTION OF PREMIERPATH SERVICES

PremierPath Systems provides marketing systems, customer-intake systems, communications technology, automation, consulting, website services, appointment-booking systems, customer relationship management functionality, and related services for businesses.

Information presented on the public website is provided for general informational and marketing purposes. It is not a guarantee that a particular service, feature, integration, result, or price will be available to every client.

Specific services and obligations are established only through a separate written agreement with PremierPath.

5. PERMITTED USE OF THE WEBSITE

You may use the website only for lawful purposes.

You agree not to:

• Use the website in violation of any law or regulation

• Submit false, misleading, fraudulent, or impersonated information

• Attempt to obtain unauthorized access to our systems or accounts

• Introduce viruses, malware, harmful code, or automated attacks

• Interfere with the security or operation of the website

• Scrape, copy, reproduce, or commercially exploit website content without permission

• Use the website to harass, threaten, deceive, or harm another person

• Misrepresent your identity or authority

• Test or probe system vulnerabilities without written authorization; or

We may restrict or terminate access when we reasonably believe the website is being misused.

6. INFORMATION YOU SUBMIT

You are responsible for the accuracy of information you submit to PremierPath.

By submitting information, you represent that:

• Providing it does not violate another person’s rights; and

• PremierPath may use it to respond to your request and provide the communications or services you request

Our collection, use, retention, and disclosure of personal information is governed by our Privacy Policy.

7. PREMIERPATH SYSTEMS SMS PROGRAM

Program Name and Business Identity

The PremierPath Systems SMS Program is operated by PremierPath Systems, LLC.

Where consent is collected through a website form, the form will present a dedicated text-message consent disclosure and consent mechanism.

Submission of a telephone number by itself does not constitute consent to receive marketing or promotional text messages.

The program may send messages relating to:

• Inquiries submitted to PremierPath

• Strategy calls and appointments

• Appointment confirmations and reminders

• Requested information

• Follow-up communications

• Proposals and service information

• Customer service and technical support

• Client account or service notices

• Educational information; and

• Promotional offers when you have provided the required consent

Message Frequency and Charges

As always, message and data rates may apply for any messages sent to you from us and to us from you.

Message frequency may vary based on your interactions with PremierPath Systems, the services you request, and the types of messages you consent to receive.

If you have questions about your text plan or data plan, it is best to contact your wireless provider.

Consent to receive marketing or promotional text messages is not a condition of purchasing goods or services.

Opt-Out Instructions

You can cancel the SMS service at any time.

Text “STOP” to (720) 790-5571 or to the telephone number from which you received the message.

After you send the SMS message “STOP” to us, we will send you one SMS message confirming that you have been unsubscribed. After this confirmation, you will no longer receive SMS messages from the applicable messaging program unless otherwise permitted by law.

If you want to join the program again, you must sign up again or otherwise provide new consent in the same manner you originally opted in.

Supported Carriers

The messaging program is intended to operate through participating United States wireless carriers. Message availability and delivery may vary by carrier, device, service plan, location, and network conditions.

Carrier Liability

Carriers are not liable for delayed or undelivered messages.

Privacy

Information collected through the SMS program is handled according to the PremierPath Systems Privacy Policy, available through our website.

Our Privacy Policy includes additional information about mobile information, text-message opt-in data, consent records, service providers, and third-party sharing.

Availability

Delivery of text messages may be affected by your wireless carrier, device, telephone service, network availability, geographic location, blocking settings, or other circumstances outside PremierPath’s control.

PremierPath does not guarantee that every message will be delivered or received within a particular period.

Compliance

PremierPath administers its text-messaging program in accordance with applicable laws, regulations, carrier requirements, and industry messaging standards, including applicable requirements under the Telephone Consumer Protection Act.

Age Restriction

You must be at least 18 years old or have the authorization of a parent or legal guardian to enroll in the PremierPath Systems SMS Program.

8. EMAIL COMMUNICATIONS

When you submit your email address, PremierPath may use it to:

• Respond to your inquiry

• Send appointment information

• Provide requested materials

• Deliver proposals

• Send service or account notices

• Provide customer support

• Send educational information; and

• Send marketing communications when permitted

You may unsubscribe from promotional emails using the unsubscribe link included in the message.

Unsubscribing from promotional communications will not prevent us from sending non-promotional messages concerning appointments, transactions, requested services, account administration, security, or an existing business relationship.

9. AUTOMATED AND AI-ASSISTED COMMUNICATIONS

PremierPath may use automated or artificial intelligence-assisted systems to respond to inquiries, answer telephone calls, operate website chat, collect information, route messages, schedule appointments, transcribe communications, and provide general information.

You may be interacting with an automated system rather than a human representative.

AI-generated information may not always be complete, accurate, or error-free. Important information should be verified directly with a PremierPath representative before you rely upon it.

Use of automated systems does not create a client relationship or constitute a binding offer, professional opinion, guarantee, or contractual commitment.

10. INTELLECTUAL PROPERTY

Unless otherwise stated, the website and its contents are owned by or licensed to PremierPath Systems.

This includes:

• Written content

• Branding

• Logos

• Graphics

• Page designs

• Videos

• Downloads

• Assessments

• Processes

• Frameworks

• Software configurations

• Automation concepts; and

• Other materials presented through the website

You may view and use website content for your own legitimate evaluation of PremierPath services.

You may not reproduce, distribute, modify, republish, sell, license, reverse engineer, or commercially exploit website content without prior written permission.

11. THIRD-PARTY SERVICES AND LINKS

PremierPath does not control independent third-party websites and is not responsible for their:

A link does not necessarily constitute an endorsement.

Your use of an independent third-party service is governed by that provider’s own terms and policies.

12. NO GUARANTEE OF RESULTS

PremierPath may provide information about marketing, automation, customer intake, communications, lead follow-up, appointment booking, reviews, local search, websites, or business systems.

Business and marketing results depend on numerous factors outside PremierPath’s control.

PremierPath does not guarantee:

• A particular number of leads

• Increased revenue or profit

• Search-engine rankings

• Appointment volume

• Customer conversion rates

• Review volume

• Uninterrupted software availability

• Third-party platform approval

• Message delivery

• Carrier approval

• Integration compatibility; or

• Any particular business outcome

Any examples, projections, assessments, recommendations, testimonials, or case studies are illustrative and are not guarantees of future performance.

13. WEBSITE AVAILABILITY

We may modify, suspend, restrict, or discontinue any public website feature at any time.

We do not guarantee that the website will always be available, secure, uninterrupted, compatible with every device, or free of errors.

Maintenance, third-party outages, security events, technical problems, or circumstances outside our control may affect availability.

14. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by law, the website and public-facing services are provided “as is” and “as available.”

PremierPath and its licensors and service providers disclaim warranties of every kind, whether express, implied, or statutory, including warranties of:

• Merchantability

• Fitness for a particular purpose

• Title

• Non-infringement

• Accuracy

• Availability

• Reliability; and

• Compatibility

We do not warrant that the website will satisfy every requirement, produce a particular result, operate without interruption, or remain free of defects or harmful components.

Some jurisdictions do not permit the exclusion of certain warranties. In those jurisdictions, these exclusions apply only to the maximum extent permitted by law.

15. LIMITATION OF LIABILITY

To the maximum extent permitted by law, PremierPath will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from use of or inability to use the public website or communications services.

This includes loss of profits, revenue, opportunities, goodwill, business information, or data.

To the maximum extent permitted by law, PremierPath’s total liability arising from the public website or these Terms will not exceed $100.

This limitation does not govern liability established under a separate signed Client Agreement.

Some jurisdictions do not permit certain limitations of liability. In those jurisdictions, these limitations apply only to the maximum extent permitted by law.

16. INDEMNIFICATION

To the maximum extent permitted by law, you agree to defend, indemnify, and hold PremierPath harmless from claims, liabilities, damages, costs, and expenses arising from:

• Your unlawful use of the website

• Information you submit without authorization

• Your violation of these Terms

• Your infringement of another person’s rights; or

• Fraudulent, abusive, or malicious conduct

This section does not require you to indemnify PremierPath for conduct for which indemnification cannot lawfully be required.

17. TERMINATION OR RESTRICTION OF ACCESS

We may restrict, suspend, or terminate your access to the public website or related features if:

• You violate these Terms

• Your use threatens the security or operation of our systems

• Your conduct may expose PremierPath or another party to liability

• We are required to do so by law; or

• We discontinue the relevant feature

Termination of website access does not automatically cancel a paid client agreement or subscription. Paid services must be canceled according to the applicable Client Agreement and Refund and Cancellation Policy.

18. GOVERNING LAW

These Terms are governed by the laws of the State of Colorado and applicable federal law, without regard to conflict-of-law principles.

Any dispute concerning these Terms or the public website will be brought in a court of competent jurisdiction located in Denver County, Colorado, unless applicable law requires otherwise.

Before initiating formal legal proceedings, you agree to make a reasonable effort to resolve the dispute informally by contacting PremierPath.

19. SEVERABILITY

If any provision of these Terms is found invalid or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable.

The remaining provisions will remain in effect.

20. WAIVER

Failure to enforce a provision of these Terms does not waive the right to enforce that provision or another provision later.

A waiver is effective only when made in writing by an authorized representative of PremierPath.

21. CHANGES TO THESE TERMS

We may update these Terms to reflect changes in our website, communications programs, technology, legal obligations, or business practices.

When updated, we will revise the “Last Updated” date.

Changes become effective when the updated Terms are posted unless otherwise stated.

Your continued use of the website after the effective date constitutes acceptance of the revised Terms.
